Terms of Sale & Quotation

Last updated: October 2026

These terms apply to every quotation we give and every sale of products by RBM Oil Corporation ("Seller") to a customer ("Buyer") in India or abroad, unless a written agreement signed by both parties says otherwise. They are written for business customers.

Quotations

A quotation is an invitation to order and not a binding offer. Unless it states otherwise, a quotation is valid for 15 days from its date. Prices depend on product, grade, pack size, quantity, delivery location and prevailing raw material costs, and may be revised before an order is accepted.

Orders and acceptance

An order is accepted, and a contract formed, only when we confirm it in writing (order confirmation or proforma invoice). We may decline an order or reduce the quantity supplied, for example because of stock, capacity or credit considerations.

Special grades, private-label products and custom viscosity blends may require a minimum order quantity and are made to order; these may not be cancelled once production has started.

Prices and taxes

Prices are quoted in the currency stated in the quotation. Unless stated otherwise, domestic prices exclude GST and other applicable taxes, which are charged extra at the prevailing rate. Export prices are quoted on the Incoterms stated in the quotation, and the Buyer bears import duties, taxes and charges at the destination.

Payment

Payment terms are as stated in the quotation or order confirmation (for example advance payment, letter of credit, or an agreed credit period for approved customers). Payment is due without set-off or deduction. We may charge interest on overdue amounts, and may suspend further supply until overdue amounts are cleared.

Delivery, risk and title

Delivery timelines are estimates and depend on stock, production and logistics. Delivery, packaging, risk of loss and damage are governed by our Shipping, Delivery & Claims policy and the Incoterms agreed. Title to the goods passes to the Buyer only when full payment is received.

Inspection and claims

The Buyer must inspect goods on delivery and report visible damage, shortage or wrong supply in writing within the time given in our Shipping, Delivery & Claims policy. Quality complaints must be supported by the batch number, photographs and, where relevant, retained samples.

Product quality and warranty

We supply products that conform to the specification, typical properties and batch Certificate of Analysis (COA) supplied for that batch. Beyond this, and to the extent permitted by law, we give no other warranty, express or implied, including fitness for a particular purpose. Technical advice is given in good faith but is not a guarantee; see the Product Information Disclaimer.

Limitation of liability

Our total liability for any claim relating to a sale is limited to the invoice value of the affected goods. We are not liable for indirect or consequential loss, including loss of production, profit or equipment downtime, to the fullest extent permitted by law.

Cancellation and returns

An accepted order may be cancelled only with our written consent and the Buyer may be charged for costs already incurred. Goods that have been delivered, opened or blended are not returnable except where we have agreed to replace non-conforming goods.

Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, strikes, government action, shortages of raw materials, transport disruption or power failure. The affected party must notify the other promptly.

Export compliance

The Buyer must comply with the export, import, customs and sanctions laws that apply to the transaction and must not resell our products to sanctioned persons or destinations. We may refuse or suspend a shipment that would breach such laws. See our Code of Conduct & Export Compliance.

Governing law and disputes

These terms and any contract formed under them are governed by the laws of India. The parties will first try to settle disputes through good-faith discussion. Failing that, the courts at Pune, Maharashtra have exclusive jurisdiction, unless the parties agree otherwise in writing.
